General Terms and Conditions (GTC)


1-Scope

The General Terms and Conditions (hereinafter referred to as "GTC") apply to all legal transactions concluded via the online store www.vidal-teppiche.com. The operator of the online store is Vidal Carpet Gallery AG (hereinafter referred to as "Vidal").
The GTC also apply to all legal transactions concluded in the Vidal showrooms. In the showrooms, customers can obtain personal advice, view carpets and purchase them at retail prices.

Vidal reserves the right to amend these terms and conditions at any time. The version of these terms and conditions valid at the time the order is placed shall apply and cannot be unilaterally amended for this order. Any terms and conditions of the customer that conflict with or deviate from these General Terms and Conditions shall not be recognized.
The products offered in the online store, expressly also in our showrooms, are aimed at international customers. Deliveries are made to addresses worldwide. Delivery costs may vary depending on the delivery zone. The offer is valid as long as the product can be found via the search engine in the online store and / or stocks last.
For all product orders with a minimum age of 18 years, the customer confirms compliance with these legal provisions when placing the order.
Orders in quantities not customary in the household can be rejected without giving reasons.

2 - Information

2.1 Product and price

Product images in advertising, brochures, online stores etc. are for illustrative purposes only and are non-binding.
All prices published in the online store sales are final prices that include all taxes (in particular VAT), any advance recycling fees (ARF), costs for packaging / s and all other possible taxes, fees or costs. Deviations may only occur for delivery to the respective zones. Vidal reserves the right to change the prices of the products and services offered at any time. The price in the online store at the time of the order is decisive for the conclusion of the purchase contract.
If the customer orders a product that is located in our warehouse abroad, the customer is liable as the importer for Swiss import tax and any customs duties for the delivered product. The customer hereby authorizes and instructs Vidal to make the import customs declaration for the delivered goods in Switzerland in the name and for the account of the customer and to pay the Swiss import duties (import tax and any customs duties). The expected Swiss import duties are paid by the customer to Vidal in advance together with the purchase price. Any difference to the Swiss import duties actually incurred will be refunded to the customer. Vidal will provide the customer with an import duty notice in a suitable form or enable it to be retrieved in electronic form. The customer must object to the import duty notice within seven (7) working days of receipt or retrieval. After expiry of this period, the customer can no longer make a claim against Vidal for any deficiencies in the import duty assessment.

2.2 Availability and delivery time

Vidal attaches great importance to providing up-to-date and accurate information on availability and delivery times in the online store. Vidal may experience delays in delivery, particularly due to production or delivery bottlenecks. All information on availability and delivery times is therefore without guarantee and may change at any time.

3 - Conclusion of the contract

The products and prices in the online store are to be understood as an offer. However, this offer is always subject to the resolutory condition of impossibility of delivery or incorrect pricing.
The contract for Vidal sales products is concluded as soon as the customer places an order in the online store, in one of the branches or by e-mail (hereinafter referred to as the "sales contract").
The receipt of an online order is indicated to the customer by an automatically generated order confirmation sent by Vidal to the e-mail address provided by the customer. Receipt of the automatically generated order confirmation does not constitute an assurance that the product can actually be delivered. It merely indicates to the customer that the order placed in the online store has been received and that the contract with Vidal has been concluded subject to delivery and the correct price.

4 - Delivery date

The customer is informed of a provisional delivery date with the order confirmation or the customer is contacted and an individual delivery date is agreed.
If Vidal is in default of delivery, the customer (except in the case of special orders) has the right to demand a refund of the amounts paid in advance from the 30th day after the delivery date. In this case, Vidal will refund the amounts paid in advance to the customer. There are no further claims against Vidal.

5 - Delivery / Stock collection

All delivery and collection options are available to the customer for Vidal products, which are listed in the online store under "Delivery and collection".
If the customer does not accept the ordered products on the agreed or specified delivery date, Vidal may terminate (cancel) the contract and charge the customer for the delivery costs incurred and any loss in value.
If the customer does not collect the ordered products from the store within 14 calendar days of them being made available in the store (collection), Vidal may terminate the contract.

6 - Obligation to check

The customer must check delivered or collected products immediately for correctness, completeness and delivery damage.
In the case of forwarding deliveries, any delivery damage must be noted on the delivery bill.
Delivery damage, incorrect and incomplete deliveries, including for all products, must be reported within 7 calendar days from the time of collection or delivery. Customers are not allowed to use such a product. They must keep it as received in the original packaging and follow the instructions of the guided return process.

7 - Liability and exclusion of liability

Liability is governed by the applicable statutory provisions. However, in no event shall Vidal be liable for (i) slight negligence, (ii) indirect and consequential damages, as well as consequential damages and lost profits, (iii) unrealized savings, (iv) damages resulting from delay in delivery, and (v) acts or omissions of Vidal's agents, whether contractual or non-contractual.
In addition, Vidal disclaims liability in the following cases: improper, non-contractual or illegal storage, adjustment or use of the products; failure to maintain and/or improper modification or repair of the products by the customer or a third party;

8.2 Retention of title

The products ordered remain the property of Vidal until payment has been made in full. Vidal is entitled to make a corresponding entry in the retention of title register.

9 - Modification of the order or cancellation.

Orders oblige the customer to purchase the products. Vidal may, at its own discretion, accept subsequent changes to or cancel orders from customers and charge a processing fee of 20% of the canceled order value, with a minimum of CHF 50, as well as any loss in value of the canceled products since they were ordered.
If a (partial) impossibility of delivery (resolutory condition) occurs after an order has been placed or a contract concluded in accordance with section 3, the customer will be informed immediately by e-mail or telephone. If the customer has already paid, this amount will be refunded. If no payment has yet been made, the customer shall be released from his payment obligation. Further claims due to delayed delivery or non-delivery are excluded.

10 - Return of faultless goods

Vidal grants the right to return the ordered products within a maximum of 30 calendar days under the conditions specified in the return conditions.
The customer must register the return of the products with a customer advisor. The products must be properly packed with all accessories. Damaged products will not be taken back or the customer will be charged the full amount.
If the customer exercises his right of return, Vidal will refund the full purchase price.

11 - Data protection

The privacy policy applies to the processing of personal data by Vidal.

12 - Copyright notice

All rights, including copyrights, to these terms and conditions are held by Vidal.
Any reproduction, distribution or other use is prohibited and only permitted with the express written consent of Vidal. Vidal reserves the right to take all legal action in the event of a breach of this provision.
